Points we highlight specifically
Hungarian contract law binds a party to terms that depart substantially from usual practice only if those terms are drawn to their attention. These are those terms.
- Liability is capped
- AIFT's total liability per contract year is capped at the fees you paid in the preceding 12 months, and indirect or consequential damages are excluded so far as the law allows (section 14).
- You review the output
- AIFT prepares bookkeeping with AI assistance. The accounting professional remains solely responsible for reviewing the output and for the correctness of the books, filings and reports (section 9).
- We may change these terms
- Changes take effect after advance notice in the app and by email. If you do not accept a materially adverse change, you may cancel before it applies (section 18).
Provider: the MVP company Kft., registered seat 2162 Őrbottyán, Táncsics Mihály utca 50., Hungary, company registration number 13-09-223340, tax number 32113644-2-13, EU VAT number HU32113644, trading as AI Finance Team ("AI Finance Team", "AIFT", "we").
These terms govern the use of the AIFT service at aift.aifinance.team and related interfaces (API, MCP, help center). By subscribing through the in-app checkout or otherwise entering a service agreement, the Customer accepts these terms; the selections made at checkout (plan, billing period, any office-specific terms) constitute the Order.
1. Who can use AIFT: businesses only
AIFT is a professional tool for accounting firms and their business clients (legal entities and sole traders purchasing for business purposes). The Customer contracts as a business (B2B); consumer-protection rules for natural persons acting outside their trade do not apply. The Customer confirms the person accepting these terms is authorized to bind the Customer.
2. The Service
2.1 AIFT is a continuous bookkeeping preparation platform: it ingests bank transactions (via licensed open-banking providers), invoices and documents (upload, email forwarding, NAV Online Számla), applies AI-assisted extraction, categorization and matching, surfaces exceptions for human review, and produces export files for accounting systems.
2.2 The Customer's organization contains workspaces (one per client company). The Customer administers its own users and roles (accountant and client-side roles) and is responsible for their acts and omissions, including invitations extended to its client companies' users.
2.3 AIFT may improve or modify features continuously. Features marked beta or provisional are still under development and are provided for evaluation. AIFT may change or withdraw any feature, so features are excluded from any performance commitments (§12) and from the warranties in §13.
3. Fees, billing and payment
3.1 Pricing is plan plus document-based usage as shown at checkout and in the in-app plan picker: each plan includes a monthly document volume; usage is measured per processed document per billing period as described in the app. The current price list is a separate annex to these terms and may be amended on its own, subject to the price-change notice in §3.5.
3.2 Billing runs monthly or annually, according to the billing period chosen, through our payment provider (Stripe). The Customer keeps its billing details current; card data is entered at and held by the payment provider, never by AIFT. Invoices (számla) are issued per Hungarian law.
3.3 Currency is fixed per Customer at first subscription (HUF or EUR, per the price list).
3.4 Late or failed payment: after 7 days' email notice, AIFT may suspend access (§15) until settlement; statutory late-payment interest may apply.
3.5 Price changes take effect with at least 14 days' notice, from the next billing period; the Customer may cancel before the new price applies.
3.6 Fees are net of VAT and applicable taxes.
3.7 Metering corrections: documents processed due to AIFT's own error are excluded from billing; the itemized usage behind each closed billing month is retained as a billing record (see the privacy notice's retention table).
4. Trial
Where offered, a free trial applies once per Customer organization. AIFT may modify, waive or withdraw the trial for a given Customer before subscription. At the end of the trial, the subscription continues at the selected plan unless cancelled.
5. Term, renewal, cancellation
Subscriptions renew monthly or annually, according to the billing period chosen. The Customer may cancel any time via the customer portal, effective at the end of the current billing period; no refund for the running period except where these terms provide otherwise (e.g. DPA §5.2). §16 governs termination for cause and what happens to data.
6. Customer obligations and acceptable use
The Customer will: (a) use AIFT only lawfully and per these terms; (b) ensure it and its client companies have the rights and legal bases to process the data they connect or upload (including NAV and bank connections, see §8); (c) keep credentials secure and not share accounts; (d) not reverse engineer, resell, or provide the Service to third parties outside the intended accountant-client model; (e) not attempt to defeat usage metering, security controls or tenant isolation; (f) not introduce malicious code or place abusive load on the Service or its interfaces (API/MCP); (g) not upload content whose processing is unlawful.
7. Data protection
7.1 The Data Processing Agreement is incorporated into these terms and governs the processing of Customer Data (bookkeeping content) with AIFT as processor. For account, billing and service data, AIFT is an independent controller per the privacy notice (DPA §1.4).
7.2 In case of conflict concerning personal-data processing, the DPA prevails over these terms.
8. Third-party connections the Customer controls
8.1 Bank connections run through a licensed open-banking provider under PSD2: the client company authenticates on its bank's own page; AIFT never receives banking credentials. Bank data availability depends on the bank and the provider.
8.2 NAV Online Számla: the technical-user credentials are supplied by the client company (or the Customer where authorized) and handled per DPA §10. The Customer warrants that it is authorized by the client company to establish and operate the connection.
8.3 Customer-connected AI assistants (MCP): the Customer may connect its own third-party AI tools; data accessed that way flows to the Customer's chosen provider under the Customer's own agreement (DPA §12.3). AIFT may change or disable this interface for security reasons.
8.4 Third-party services (banks, NAV, AI assistant providers) are outside AIFT's control; their outages or changes are not a breach by AIFT, though AIFT will use reasonable efforts to adapt.
9. AI output and professional responsibility
9.1 AIFT prepares bookkeeping: extraction, categorization, matching and summaries are AI-assisted suggestions designed for review by a qualified professional. Errors, including plausible-looking errors, can occur.
9.2 The Customer (the accounting professional) remains solely responsible for reviewing outputs and for the correctness of the books, filings and reports produced from them. AIFT provides software, not accounting, tax or legal advice, and does not perform the Customer's statutory duties.
9.3 The Service's problem lists, checks and closing summaries are aids to review, not a guarantee of completeness.
10. Intellectual property
AIFT and its software, models, interfaces and documentation remain AIFT's (or its licensors') property. The Customer receives a non-exclusive, non-transferable right to use the Service during the subscription. The Customer's data remains the Customer's (or its client companies'). The Customer grants AIFT the rights needed to operate the Service, and AIFT may use service data in aggregated or anonymised form per DPA §1.4. Feedback may be used to improve the Service without obligation.
11. Confidentiality
Each party protects the other's non-public information with at least reasonable care and uses it only for performing under these terms. This survives termination for 3 years; Customer Data is governed by the DPA, not this clause.
12. Availability and support
AIFT operates the Service with reasonable skill and care on professional cloud infrastructure, with no fixed availability percentage in any plan tier. Planned maintenance is announced in advance where practicable. Support is provided via in-app messaging and email during Hungarian business hours, without guaranteed response times.
13. Warranties and disclaimers
Except as expressly stated, the Service is provided "as is" to the extent permitted for B2B contracts; AIFT does not warrant uninterrupted or error-free operation, nor that AI outputs are correct or complete (§9). Beta and provisional features carry no warranties. Mandatory statutory warranties remain unaffected.
14. Liability
14.1 Neither party is liable for indirect or consequential damages (lost profits, lost data to the extent caused by the Customer's failure to export, loss of business), to the extent permitted by law.
14.2 AIFT's total liability per contract year is capped at the total fees paid by the Customer in the 12 months preceding the event giving rise to the claim.
14.3 The cap and exclusions do not apply where liability cannot be limited under Hungarian law (e.g. damage caused intentionally, or harm to life, limb or health, Ptk. 6:152 of the Hungarian Civil Code).
14.4 §14 applies to the DPA as well (DPA §11 defers here). Neither party is responsible for administrative fines issued under Art. 83 GDPR against the other party; each party bears its own.
15. Suspension
AIFT may suspend access (wholly or partly) upon: non-payment after notice (§3.4); a serious security risk; use that breaches §6 and is not remedied promptly after notice; or a legal obligation. AIFT restores access without undue delay once the ground ends. Suspension does not pause fees where the ground is the Customer's breach.
16. Termination and data
16.1 Either party may terminate for material breach not cured within 15 days of notice; AIFT may terminate immediately for grave breach of §6 or unlawful use.
16.2 On expiry or termination: access ends; the Customer may export data beforehand (self-service); deletion then follows DPA §9 (termination is the deletion instruction; 30-day window; statutory-retention carve-out, including billing records).
17. Notices
To the Customer: to the organization's admin email; to AIFT: founders@aifinance.team. Notices by email are effective on delivery.
18. Changes to these terms
AIFT may amend these terms with at least 14 days' notice (in-app and by email). If the Customer does not accept a materially adverse change, it may cancel effective before the change applies; continued use afterwards constitutes acceptance.
19. Miscellaneous
Assignment only with consent, except AIFT may assign to an affiliate or in a business transfer. Entire agreement: the Order, these terms, the DPA (with schedules) and the referenced policies; order of precedence: Order, then the DPA (for data protection), then these terms, then policies. Severability applies. Governing law: Hungarian law. For any claim arising from or relating to these terms, the parties may turn to the court having subject-matter and territorial jurisdiction under the Hungarian Code of Civil Procedure (Polgári Perrendtartás) in force at the time; no exclusive venue is stipulated. Language: the Hungarian version is operative; translations are courtesy.
